1. Agreement & Service
These Terms govern your access to and use of Solvara Nexus (the “Service”), provided and operated by Dominum Gladii LLC (“Solvara,” “we,” “us”). By creating an account, starting a trial, or using the Service, you agree to these Terms.
2. Accounts & Access
•You must provide accurate account and billing information.
•You are responsible for safeguarding credentials and all activities under your account.
•You will ensure that anyone on your team complies with these Terms.
3. Plans & Stacking
•Plans are Initiate, Adept, and Sovereign.
•Plans stack: Adept includes Initiate. Sovereign includes both.
•Features are described on our site. Add-ons may be offered separately.
4. Trials
•Trials are for evaluation only.
•We may limit features or duration.
•We may end a trial at any time.
•Data added during a trial may be deleted if you do not convert to a paid plan.
5. Fees, Billing & Taxes
•Subscriptions are billed in advance per cycle (monthly or yearly) via our payment provider.
•Subscriptions renew automatically unless canceled.
•Yearly subscriptions include two months free.
•Prices are in USD. Taxes may apply and are your responsibility.
•Failed or late payments may trigger suspension and reminder notices.
6. Price & Plan Changes
•We may adjust prices or plan entitlements with notice.
•Changes apply at the next renewal unless stated otherwise.
•If you disagree, you may cancel before the renewal date.
7. Upgrades, Downgrades & Cancellations
•Upgrades: You can upgrade anytime. A 14-day grace period applies to billing adjustments.
•Downgrades: Take effect at the next billing cycle to avoid data loss.
•Cancellation: You may cancel at any time. Access continues until the end of the current paid term.
•Refunds: Subscriptions are non-refundable once the term starts, except where required by law. Full details are provided in our Refund & Cancellation Policy.
8. Acceptable Use
You may not use Solvara to:
•Break the law or infringe rights.
•Harass, spam, or mislead others.
•Scrape, probe, or attack security.
•Share accounts beyond plan limits.
•Misrepresent Solvara or remove proprietary notices.
Breaches may result in suspension or termination.
9. Sovereign White-Label
•The Sovereign plan enables white-labeling such as custom domain, logo, and sender email.
•You remain responsible for your brand’s representations, disclosures, and compliance.
•White-label does not transfer ownership of Solvara or our IP.
10. Your Content & Data
•You own the business data and content you add.
•You grant us a limited license to host, process, transmit, display, and back it up to operate the Service.
•You confirm you have the rights to provide all content you upload.
11. Privacy & Data Processing
•Our Privacy Policy at /privacy explains how we handle data.
•For account and billing data, Dominum Gladii is the controller.
•For contacts you bring into Solvara, you are the controller and we act as processor.
•We rely on vetted subprocessors (including GoHighLevel/GHL) under contract and security safeguards.
•A Data Processing Addendum with Standard Contractual Clauses is available on request.
12. Confidentiality
•“Confidential Information” means non-public information disclosed that is marked or reasonably understood as confidential.
•Each party will use such information only to perform under these Terms and will protect it with reasonable care.
• Exclusions apply where information is already public, independently developed, or lawfully obtained.
13. Intellectual Property
•We own Solvara Nexus and all related intellectual property.
•You retain ownership of your content.
•No rights are granted beyond the license in Section 2.
•You may not copy, modify, reverse engineer, or create derivative works of the Service except where legally permitted.
14. Third-Party & Beta Features
•Solvara integrates with third-party tools you choose to enable; their terms govern your use of those tools.
•Beta or preview features are experimental, provided “as is,” may change, and may be withdrawn.
15. Availability & Support
•We aim for reliable, responsive service.
•Planned maintenance and unforeseen outages may occur.
•Support levels vary by plan. Adept includes daily trend reports. Sovereign includes leadership dashboards and audit trail.
16. Warranties & Disclaimers
•Solvara is provided “as is” and “as available.”
•To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for purpose, and non-infringement.
17. Limitation of Liability
•Neither party is liable for indirect, incidental, or consequential damages.
•Our total liability is capped at the fees you paid us in the 12 months before the claim arose.
•These limits do not apply to unpaid fees you owe or breaches of confidentiality or IP rights.
18. Indemnity
You will indemnify and defend Solvara against claims arising from:
•Your content.
•Your use of the Service in violation of law or these Terms.
•Your chosen integrations or configurations.
19. Suspension & Termination
•We may suspend or terminate your account for material breaches, non-payment, security risks, or legal requirements.
•We will notify you when practical.
•You remain responsible for fees through termination.
20. Governing Law & Venue
•These Terms are governed by the laws of Wyoming, USA, without regard to conflict of law rules.
•State and federal courts in Wyoming have exclusive jurisdiction.
21. Export & Compliance
•You must comply with applicable export, sanctions, and data protection laws.
•Do not use Solvara in prohibited jurisdictions.
22. Changes to these Terms
•We may update these Terms as Solvara evolves.
•Material changes will be posted with reasonable notice.
•Continued use after updates means you accept the revised Terms.

These Terms, together with referenced policies and addenda, form the entire agreement and replace prior understandings.
